terms of service

These terms cover your use of the Calibra Digital website and the design and development services we provide. They are written plainly and are meant to set fair, sensible expectations on both sides. Any specific project will usually also have its own written proposal or agreement — where that document and these terms differ, the project agreement takes precedence for that work.

acceptance of terms

By using this site or engaging us for work, you agree to these terms. If you are agreeing on behalf of a company or organisation, you confirm you are able to do so on its behalf. If you do not agree with these terms, please do not use the site or commission work from us.

scope of services

We are a small studio offering website design, user experience strategy, and development, along with related ongoing support. The exact deliverables, timeline, and responsibilities for any engagement are set out in a proposal or statement of work agreed before we begin. Anything outside that agreed scope — new pages, added features, or a change of direction partway through — is handled as a separate conversation and may affect timing and cost.

Good work depends on a good working relationship. We ask that you provide the content, access, and timely feedback a project needs, and we will keep you informed as it progresses.

intellectual property and ownership

Once a project is complete and paid for in full, the final deliverables we create specifically for you are yours to own and use. Until then, work in progress remains our property.

Some things are treated differently. Third-party components, fonts, stock assets, and libraries are licensed rather than owned, and you receive them under the terms of their respective licences. Our own underlying tools, methods, and any general techniques we develop stay ours, and we may reuse them elsewhere. We also like to show the work we are proud of, so unless we agree otherwise we may display completed projects in our portfolio and describe our role in them.

payment terms

Fees, instalments, and payment schedules are set out in the proposal for each project. As a rule, we invoice against agreed stages or milestones, and payment is due within the period stated on the invoice. Larger engagements typically begin with a deposit before work starts.

If an invoice goes unpaid, we may pause work until the account is settled. We would always rather talk it through than let things stall, so if a payment is going to be difficult, tell us early.

warranties and disclaimers

We take real care in our work and stand behind it. We will put right defects in the delivered work that are reported to us within a reasonable period after handover and that result from our error.

Beyond that, the site and our services are provided on an "as is" basis. We do not promise that a website will be entirely uninterrupted or error-free, or that it will achieve any particular commercial result. Except where the law does not allow it to be excluded, we give no other warranty, express or implied.

limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential losses — such as lost profits, lost data, or lost business — arising from your use of the site or our services. Where we are found liable, our total liability for any engagement will not exceed the fees you paid us for the work in question.

Nothing in these terms limits any liability that cannot lawfully be limited.

governing law

These terms are governed by the laws of the studio's home jurisdiction, and any dispute will be dealt with by the courts of that jurisdiction. In practice, we would much prefer to resolve any disagreement directly and reasonably before it ever reaches that point.

changes to these terms

We may update these terms occasionally as our services or obligations change. When we do, we will revise the date at the top of this page, and the current version will always be the one published here. For active projects, the terms in force when we agreed the work continue to apply to that engagement.
